1. Introduction and Service Overview

The directorverifications.com website is operated by Finovium Limited ("Finovium," "we," "us," or "our"), a firm of accountants registered in England (Company No. 09852857), registered office: 7 Bell Yard, London, England, WC2A 2JR.

Through this website, Finovium acts as an Authorised Corporate Service Provider (ACSP), registered with Companies House and supervised for anti-money laundering purposes by HMRC, to facilitate identity verification for company directors, people with significant control (PSCs), LLP members and Limited Partnership partners, as required by the Economic Crime and Corporate Transparency Act 2023 (ECCTA).

By purchasing or using our service, you agree to these Terms and Conditions.

2. The Service and Turnaround Times

We facilitate your Companies House identity verification through our third-party verification partner and, where verification is successful, upload the required data to the Companies House ACSP portal.

Our standard service is normally completed within 24–48 hours (often quicker). Our fast-track service offers same-day completion where you register and pay before 4pm on a working day. In practice we often complete same-day seven days a week, including where you register and pay up to midnight, but this is not guaranteed.

These turnaround times are targets, not guarantees. However, we are not responsible for delays caused by Companies House, by our third-party partner, or by incomplete, poor-quality or non-genuine documents or information provided by you.

3. Fees and Payment

Our fees are shown on the website at the time of purchase. At the date of these terms, the standard service is £24.99 and the fast-track same-day service is £39.99 (same-day completion is subject to payment being received before 4pm on a working day, but our service level often exceeds this guideline – see Clause 2 (above)).

Payment is taken at the point of order. We may change our fees from time to time, but changes do not affect orders already placed.

4. Accuracy of Information on this Website

While we take care in maintaining this website, Finovium does not assume liability for the correctness, completeness or relevance of general information provided here. The content is for general informational purposes and does not constitute legal or professional advice.

5. Verification Process and Third Parties

By using this service, you acknowledge that:

• Third-party verification: Finovium uses a specialised third-party provider to carry out the identity verification checks, using its identity-verification technology.



• Data sharing: You consent to your personal data being shared with this third-party partner and to the reporting of verification results to Companies House to satisfy ECCTA requirements. Please see our Privacy Policy for how we handle your data, the lawful basis for processing, any processing outside the UK, and our retention periods.

• Your responsibility: You are responsible for ensuring that all documents and information you provide are genuine, valid, current, accurate and belong to you.

6. Your Warranties and Obligations

You warrant and agree that:

• every identity document and all information you provide are genuine, valid, unaltered, current and belong to you;
• you are entitled to be verified and to provide the documents supplied; and
• you will provide accurate registration details, including a valid email address to which Companies House can send your personal code.

Providing false, forged or altered identity documents may be a criminal offence and may be reported to the relevant authorities.

7. Our Verification Commitment and the 11-Character Code

• Our responsibility: As your Authorised Corporate Service Provider (ACSP), we will submit your documents to our third-party verification partner and use reasonable care and skill to process your verification. Where verification is successful, we will upload the required verification data to the Companies House ACSP portal. We do not guarantee that your verification will be successful, as this depends on the documents and information you provide and on Companies House.

• Issuance of the code: Where verification is successful and your data is uploaded, Companies House will issue your unique 11-character Companies House personal code directly to the email address you provided during registration. We are not sent this code and do not store it.

• Fulfilling your obligations: This 11-character code is your permanent personal identifier. It is your responsibility to use it to link your verified identity to your roles (such as director, PSC, LLP member or partner) on the Companies House register to fulfil your legal obligations under the ECCTA 2023.
  

8. Refunds and Cancellation

• Immediate performance: Because our service is usually performed quickly (including same-day), by placing your order you expressly request that we begin the service immediately, and you acknowledge that once the service has been fully performed you lose the statutory 14-day right to cancel under the Consumer Contracts Regulations 2013.

• Where we cannot perform: If we are unable to provide the service for reasons within our control, you may be entitled to a refund in accordance with your legal rights.

• Non-genuine, fraudulent or tampered documents - no refund:  You warrant that every identity document and all information you provide are genuine, valid, unaltered, current and belong to you. If your verification cannot be completed because you have provided documents that are fraudulent, forged, counterfeit, tampered with, altered, or otherwise not genuine, or information that is false, inaccurate or misleading, then no refund will be issued. This is because we and our third-party verification partner will already have carried out, and incurred the cost of, the attempt to verify the documents supplied, and the failure results from your provision of non-genuine documents or information - which is outside our control and is not our fault. In these circumstances we also reserve the right to refuse or discontinue the service, to retain records of the attempt, and to make any report we are legally required to make as an ACSP.

• The verification partner's opinion is final:  Where our third-party verification partner assesses that an identity document you have provided is fake, counterfeit, forged, tampered with, altered or otherwise not genuine, that opinion is final and conclusive for the purposes of this clause and our decision not to issue a refund. This does not affect any legal rights you have that cannot lawfully be excluded.
  

9. Anti-Money Laundering and Right to Refuse

As an ACSP supervised for anti-money laundering purposes, we are subject to legal obligations that may require us to carry out checks, retain records (typically for seven years), refuse or discontinue service, and make reports to the relevant authorities. We may not always be able to tell you the reason for a refusal or delay where the law prevents us from doing so.

10. Liability

• Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for breach of your statutory rights as a consumer, or for any other liability that cannot lawfully be excluded.
• Subject to the above, we are not liable for any loss or damage arising from: your use of, or inability to use, this website or the service; delays by our third-party partner or Companies House; or any errors, omissions or non-genuine documents or information provided by you.
• Subject to the first bullet, our total liability to you in connection with the service is limited to the fees you paid for the service in question.
  

11. Data Protection

We process your personal data in accordance with UK data protection law and our Privacy Policy, which explains what we collect, our lawful basis, how we share it with our verification partner and Companies House, any transfers outside the UK, and how long we keep it.

12. Intellectual Property

All content on this website is owned by or licensed to Finovium Limited and may not be copied or reused without our permission.

13. Changes to these Terms

We may update these terms from time to time. The version number is shown at the end of the document. The terms that apply to your order are those in force at the time you place it.

14. Complaints

If you are unhappy with our service, please contact us at info@directorverifications.com and we will try to resolve your complaint promptly.

15. General

• Force Majeure: We are not responsible for failure or delay caused by events outside our reasonable control.

• Third-Party Rights: A person who is not a party to these terms has no rights to enforce them under the Contracts (Rights of Third Parties) Act 1999.

• Severability: If any provision is found to be unenforceable, the remaining provisions continue in force.

• Governing Law and Jurisdiction: These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any consumer rights to bring proceedings in your local courts.
